1. Agreement to Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you ("you") and KiipList LLC ("KiipList", "we", "us"). By accessing or using www.kiiplist.com or any related application, dashboard, or service (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately stop using the Services.

Additional terms may apply to specific features — for example, the Referral Program Terms. If additional terms conflict with these Terms, the additional terms govern for the relevant feature.

2. Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction) to open an account.
• You must provide accurate, current, and complete information and maintain it as such.
• Accounts may be suspended or terminated for violations of these Terms or any applicable law.

3. Intellectual Property & License

The Services, including all software, designs, text, graphics, and trademarks (collectively, "Content"), are owned by or licensed to KiipList and are protected by intellectual‑property laws. We grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Services strictly in accordance with these Terms. Except as expressly allowed, you may not copy, modify, distribute, sell, or create derivative works from the Content without our prior written consent.

4. User Responsibilities

• Keep your login credentials confidential and secure. You are responsible for all activities that occur under your credentials.
• Use the Services only for lawful purposes and in compliance with all applicable laws.
• Do not upload viruses, spam, or other malicious code, and do not attempt to gain unauthorized access to any system.
• Do not reverse‑engineer, decompile, or disassemble any portion of the Services.

5. Purchases & Payment

All subscription fees are quoted in U.S. dollars unless stated otherwise and are payable in advance via the payment method you select. You authorize us (or our third‑party payment processor) to charge all fees to your chosen payment method according to the plan you select. Subscription fees are non‑refundable except as expressly required by law.

6. Prohibited Activities

You agree not to:

• Use any automatic means (robots, scrapers) to access the Services without our express permission.
• Use the Services to transmit any malware, unsolicited advertising, or harassing content.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Misrepresent your identity or the origin of any data.

7. Third‑Party Links & Integrations

The Services may contain links or integrations to third‑party platforms. KiipList is not responsible for, and does not endorse, third‑party content. Your use of third‑party services is at your own risk and subject to their terms.

8. Privacy

Your personal information is collected and processed according to our Privacy Policy, which is incorporated by reference into these Terms.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to KiipList, other users, or third parties.

10. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. KiipList disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

11. Limitation of Liability

To the maximum extent permitted by law, KiipList will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of the Services. KiipList’s total liability under these Terms will not exceed the greater of (a) the fees you paid to KiipList in the six‑month period preceding the claim or (b) US $10,000.

12. Indemnification

You agree to indemnify and hold KiipList (and its officers, employees, and affiliates) harmless from any claims, damages, or expenses arising out of your use of the Services or violation of these Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict‑of‑law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration in Montgomery County, Ohio, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Class‑action waivers apply.

14. Changes to the Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top and, in our discretion, notify users. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
